TERMS CONTRACT FOR FENCE INSTALLATION SERVICES
This Terms Contract (the “Contract”) is entered into between Altus Fencing (the “Company”) and the undersigned fence contractor or individual skilled worker (the “Contractor”). Together, the Company and the Contractor are referred to as the “Parties.”
Scope of Work:
The Contractor agrees to provide fence installation services as specified in the project details provided by the Company. The scope of work includes but is not limited to site preparation, materials procurement, installation, and clean-up.
Pricing:
The Contractor agrees to perform the agreed-upon services for a fixed price specified in the project details provided by the Company. This fixed price is binding and cannot be changed without the written consent of both Parties.
Payment Terms:
a. The Company agrees to pay the Contractor the agreed-upon price for the services rendered upon the completion of the project and the Company’s acceptance of the completed work.
b. Payment will be made via electronic transfer on the 1st of every month following the Company’s acceptance of the completed work. If the project is accepted in the middle of a month, the payment will be made on the next scheduled pay cycle on the 1st of the following month.
Timeframe:
The Contractor agrees to complete the project within the timeframe specified in the project details provided by the Company. The Contractor shall promptly inform the Company of any anticipated delays or changes to the agreed-upon schedule.
Independent Contractor Relationship:
The Contractor acknowledges and agrees that they are an independent contractor and not an employee, partner, or agent of the Company. As an independent contractor, the Contractor is solely responsible for all taxes, insurance, and other liabilities associated with their work.
Ownership of Work:
Upon the completion of the project and full payment, all rights, title, and interest in the work completed by the Contractor shall transfer to the Company, including any intellectual property rights, unless otherwise specified in writing.
Confidentiality:
The Contractor agrees to keep all project-related information, including but not limited to specifications, designs, and client details, confidential and shall not disclose such information to any third party without the prior written consent of the Company.
Termination:
Either Party may terminate this Contract with written notice if the other Party fails to fulfill their obligations under this Contract and does not remedy the breach within a reasonable period specified in the notice.
Governing Law:
This Contract shall be governed by and construed in accordance with the laws of the state of Oklahoma.
Entire Agreement:
This Contract represents the entire agreement between the Parties and supersedes any prior discussions, understandings, or agreements, whether written or oral, relating to the subject matter herein.
